Terms and Conditions

1.1 Definitions

In these Terms and Conditions, the following terms shall have the meanings set forth below:

• "Service" refers to the Safiri by Citrus SaaS platform provided to School account users for school transport management.
• "User" or "School Account User" means any school or its authorized representative who registers to use the Service.
• "Platform" refers to the Safiri by Citrus system, including its web and mobile applications.
• "Subscription" refers to any fee-based plan or service level provided under these Terms.
• "Content" includes all data, materials, and information uploaded, provided, or generated through the use of the Service.

1.2 Interpretations

Any reference to a "clause" is to a clause of these Terms and Conditions. Headings are for convenience only and shall not affect interpretation.

2.1 License Grant

Upon registration and acceptance of these Terms, Citrus Labs Limited grants the School a non-exclusive, non-transferable, revocable license to access and use the Service solely for managing school transport operations.

2.2 Scope of Use

The User may:

• Configure and manage student, parent, and driver profiles.
• Set up and modify transport routes, schedules, and fee structures.
• Access real-time tracking, communication tools, and safety features.

The User shall not:

• Modify, distribute, or reverse-engineer any part of the Service.
• Use the Service for any unauthorized or unlawful purpose.

3.1 Eligibility

Users must have the legal capacity to enter into a binding contract under Kenyan law. Only authorized representatives of the school may register for a School account.

3.2 Registration Requirements

The registration process requires accurate input of school details, contact information, and any required accreditation or identification information. Users are responsible for maintaining the confidentiality of their login credentials and must notify Citrus Labs Limited immediately of any unauthorized use.

4.1 Subscription Terms

The Service is provided on a subscription basis with pricing and billing cycles as determined by the School. Specific subscription plans, renewal policies, and refund conditions will be communicated separately.

4.2 Billing & Payment

• The School is responsible for payment of any fees associated with the chosen subscription plan.
• Non-payment or late payment may result in suspension or termination of the School's access to the Service.
• All fees are exclusive of taxes, which shall be borne by the School.

5.1 Prohibited Conduct

The User agrees not to:

• Misuse the Service, including engaging in data scraping, unauthorized access, or activities that disrupt the Service.
• Share, sell, or distribute login credentials or other proprietary information.
• Interfere with the performance or security of the Service.

5.2 User Obligations

The School shall ensure that all users under its account comply with these Terms. The School is responsible for the actions of its authorized users.

6.1 Ownership

All intellectual property rights in the Service, including software, content, and proprietary materials, are owned by Citrus Labs Limited or its licensors.

6.2 User-Generated Content

Any content provided by the School remains the property of the School, subject to the license granted herein for the purpose of operating the Service.

7.1 Privacy Policy

The collection, use, and storage of user data are governed by our Privacy Policy, which is incorporated by reference into these Terms.

7.2 Compliance

Citrus Labs Limited shall process user data in compliance with applicable Kenyan data protection regulations. The School is responsible for obtaining any necessary consents from its users.

8.1 Disclaimer

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including any warranty of merchantability or fitness for a particular purpose.

8.2 Limitation of Liability

To the fullest extent permitted by law, Citrus Labs Limited shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or in connection with the use of the Service. The total liability of Citrus Labs Limited shall not exceed the fees paid by the School for the Service in the preceding 12 months.

10.1 Term

This Agreement shall commence on the Effective Date and remain in effect until terminated by either party.

10.2 Termination

Either party may terminate this Agreement by providing 30 days' written notice. Upon termination, access to the Service will be revoked, and any outstanding fees shall immediately become due. The School's data may be deleted or archived in accordance with Citrus Labs Limited's data retention policies.

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Kenya.

11.2 Dispute Resolution

Any disputes arising under or in connection with these Terms shall be resolved through negotiation. If unresolved, disputes shall be submitted to mediation, arbitration, or litigation in the appropriate courts within Nairobi, Kenya.

14.1 Force Majeure

Citrus Labs Limited shall not be liable for any failure to perform its obligations due to causes beyond its reasonable control, including natural disasters, acts of government, or other unforeseeable events.

14.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions shall remain in full force and effect.
